These Terms of Service ("Terms") govern access to and use of the Caspian communication gateway, APIs, SDKs, dashboards, websites, and integrations (collectively, the "Service"), and together with our Privacy Policy form the agreement (the "Agreement") between Caspian ("Caspian", "we", "us", or "our") and you or the organization you represent ("you" or "Customer"). By accessing or using the Service, creating an account, enabling an integration, or clicking to accept, you agree to be bound by these Terms. If you do not agree, do not use the Service.
This Agreement constitutes the entire agreement between you and Caspian regarding the Service and supersedes prior agreements on that subject. By creating an account, you agree that we may send you transactional, operational, and service-related communications; you may opt out of non-essential communications.
"Service", "Customer", "End User", and "Message Data" have the meanings given in our Privacy Policy. "Channel" means a third-party communication platform (such as email, WhatsApp, Instagram, Messenger, Discord, Telegram, iMessage, or SMS) that the Service integrates.
You must be at least 18 years old and capable of forming a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
You are responsible for maintaining the confidentiality of your account credentials and API keys, for all activity that occurs under your account, and for promptly notifying us of any unauthorized use. You must provide accurate account information and keep it current.
Subject to these Terms, Caspian grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service to build and operate AI agents that send and receive messages across connected Channels. We may update, improve, or modify the Service over time.
You agree to use the Service only for lawful purposes, in compliance with these Terms, applicable law, and the policies of each Channel you connect. You are responsible for the content your agent sends and for the conduct of your agents.
You must not, and must not permit any agent or End User to: (a) send spam, unsolicited bulk messages, or content that violates a Channel's consent or rate rules; (b) transmit unlawful, infringing, harassing, deceptive, or harmful content; (c) distribute malware or attempt to gain unauthorized access to any system or data; (d) impersonate any person or entity or misrepresent your affiliation; (e) circumvent, disable, or interfere with security or usage limits of the Service or any Channel; (f) use the Service to violate the privacy or rights of others; or (g) use the Service in any manner that could damage, disable, or impair the Service or any Channel provider. We may suspend or terminate access that violates these Terms or a Channel provider's policies.
The Service transmits messages through third-party Channels, each governed by its own terms and policies (including those of Meta, WhatsApp Business, Twilio, and Apple). Your use of a Channel through the Service is also subject to that provider's terms, and you are responsible for complying with them, including any business-verification, template-approval, opt-in, or messaging-window requirements. Caspian is not responsible for the acts, omissions, availability, or policies of Channel providers.
You are solely responsible for obtaining and maintaining all consents and legal bases required to message End Users, and for honoring opt-out and do-not-contact requests. Certain Channels permit business-initiated messages only via approved templates and to recipients who have opted in; you must comply with those rules. You represent that you have the necessary rights and permissions for all messages you send through the Service.
As between you and Caspian, you retain all rights to your content and the Message Data you route through the Service. You grant Caspian a limited license to host, process, transmit, and display that content solely to provide and improve the Service and as directed by you. We do not use your message content to train machine-learning models. Our processing of Personal Data is described in the Privacy Policy.
If the Service or any plan is offered for a fee, you agree to pay all applicable fees as described at the time of purchase. Unless stated otherwise, fees are non-refundable except as required by law, and we may change fees on reasonable advance notice. You are responsible for any charges assessed by Channel providers (for example, per-message or per-conversation fees). Where third-party payment processors are used, you authorize them to charge your payment method; Caspian does not store full payment-card details.
The Service, including its software, APIs, documentation, and trademarks, is and remains the property of Caspian and its licensors, and is protected by intellectual-property laws. Except for the limited license granted above, no rights are granted to you. You may not use our name, logos, or trademarks without our prior written permission.
If you provide suggestions, ideas, or feedback about the Service, you grant Caspian a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without restriction or obligation to you.
Our collection and use of information is described in the Privacy Policy, which is incorporated into these Terms. Where Caspian processes Personal Data on your behalf, it does so as your processor and in accordance with your lawful instructions.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT MESSAGES WILL BE DELIVERED, AND WE ARE NOT RESPONSIBLE FOR ACTIONS TAKEN BY CHANNEL PROVIDERS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Caspian AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO Caspian FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD 100 IF YOU HAVE PAID NOTHING.
You agree to indemnify and hold harmless Caspian and its affiliates, officers, and employees from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content, your violation of these Terms, or your violation of any law or the rights of a third party (including a Channel provider or End User).
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, create risk or legal exposure, or if required by a Channel provider or by law. Upon termination, the licenses granted to you end; provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnities) will survive.
We may modify, suspend, or discontinue any part of the Service at any time, including adding or removing Channels or features. We are not liable to you or any third party for any such modification, suspension, or discontinuation.
We may revise these Terms from time to time. When we do, we will update the "Effective date" above and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the jurisdiction in which Caspian is established, without regard to its conflict-of-laws rules. The courts located in that jurisdiction will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, agency, or employment relationship. These Terms, together with the Privacy Policy, are the entire agreement between the parties regarding the Service.
